ClickHire.ai — Terms & Conditions

(Including Privacy Policy, Cookie Policy, Acceptable Use Policy, Security Statement, and Data Processing Addendum)

These Terms & Conditions (the “Agreement”) govern your access to and use of the ClickHire.ai website, platform, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to this Agreement. If you do not agree, do not use the Services.


1. Who This Agreement Applies To

1.1 Business Customers

If you use the Services on behalf of a company or organization (“Customer,” “you”), you represent and warrant that you have authority to bind that entity. “You” includes the entity.

1.2 End Users

This Agreement also applies to candidates, applicants, and any other individuals interacting with job postings, questionnaires, or AI features (“End Users”).

1.3 Order Forms / Plan Pages

If you purchase a subscription, the applicable plan details, pricing, limits, and checkout or order terms are incorporated into this Agreement.


2. Definitions

  • “Customer Content”: Job postings, job profiles, questionnaires (including custom questions), prompts/inputs, files, messages, operational data, and other content submitted by or on behalf of Customer.
  • “Candidate Data”: Personal information of candidates/applicants collected through the Services, including questionnaire responses, application data, identifiers, contact details, and communications.
  • “Personal Information”: Any information relating to an identified or identifiable individual, as defined under applicable privacy laws.
  • “Sensitive Information”: Government-issued identifiers, financial information, health or medical data, biometric data, precise geolocation, criminal history where restricted, children’s data, or other information subject to heightened legal protections.
  • “AI Features”: Features that generate, analyze, summarize, or recommend content using machine learning or artificial intelligence.
  • “Output”: AI-generated responses, summaries, rankings, suggestions, or recommendations.
  • “Public Demo”: Any publicly accessible demo or test experience that does not require authentication.
  • “Subprocessors”: Third-party service providers engaged to help deliver the Services.

3. Eligibility

You must be at least 18 years old and legally capable of forming a binding contract. The Services are not intended for minors. You must comply with all applicable laws where you access or use the Services.


4. The Services

4.1 Hiring Platform

The Services may allow Customers to:

  • Create and publish job postings and job profiles
  • Collect candidate responses through application forms and screening questionnaires
  • Manage applicant pipelines, communications, and hiring workflows

4.2 AI Features (Including Public Demos)

The Services may include AI-powered features that analyze inputs and generate Outputs. Some AI Features may be available via a Public Demo.

You acknowledge and agree that:

  • Evaluation only: Public Demos are for evaluation purposes and may be modified, limited, paused, or discontinued at any time.
  • No sensitive data: You must not submit Sensitive Information, confidential data, proprietary business information, or Personal Information (including Candidate Data) to any Public Demo.
  • No guarantees: Outputs may be inaccurate, incomplete, misleading, or biased.
  • Bias disclaimer: Outputs may reflect biases present in inputs or underlying data and are not guaranteed to be fair, complete, or unbiased.
  • No professional advice: Outputs do not constitute legal, HR, financial, or other professional advice.
  • Human review required: You are responsible for reviewing and verifying Outputs before relying on them.
  • No automated decision-making: ClickHire does not make automated employment or hiring decisions. AI Features provide decision-support tools only; all hiring decisions are made by Customers.

4.3 Service Changes

We may modify, update, or discontinue any portion of the Services at any time. We will use commercially reasonable efforts to provide notice of material changes when practicable.

4.4 No Employment Agency / No Guaranteed Outcomes

ClickHire is a technology provider only. We are not an employment agency, staffing firm, recruiter of record, or employer, and we do not guarantee hiring outcomes, candidate suitability, response rates, or business results.


5. Accounts and Security

Customers must provide accurate account information and keep it updated. You are responsible for all activity under your account and for maintaining reasonable security of credentials. Notify us promptly of any unauthorized access.


6. Acceptable Use Policy (AUP)

You agree not to:

  • Violate any law or regulation (including employment, privacy, or human-rights laws)
  • Post unlawful, deceptive, discriminatory, or harassing content
  • Collect or process Personal Information without lawful basis or required notices
  • Upload malware or disrupt system integrity
  • Reverse engineer, scrape, probe, or bypass safeguards
  • Use the Services for high-risk decisions without independent professional review
  • Access Public Demos via automated means or excessive usage
  • Infringe intellectual property or violate sanctions/export laws

We may remove content or suspend access if we reasonably believe there is a violation or risk.


7. Customer Responsibilities (Hiring & Compliance)

Customers are solely responsible for their hiring practices and compliance with applicable employment, human-rights, and anti-discrimination laws.

Where Customers are franchisors or provide access to franchisees, each franchisee is responsible for its own hiring decisions and compliance obligations.

Customers must not collect or upload Sensitive Information through the Services unless expressly permitted by ClickHire in writing and lawful with required notices and consents.

ClickHire does not review Customer Content for legal compliance and is not responsible for Customer hiring or employment practices.


8. Intellectual Property

8.1 Our IP

ClickHire retains all rights in the Services, software, design, branding, and technology, excluding Customer Content.

8.2 Customer Content License

Customers retain ownership of Customer Content and grant ClickHire a worldwide, non-exclusive, royalty-free license to use it solely to provide, maintain, secure, support, and improve the Services and comply with law.

8.3 Feedback

Feedback may be used by ClickHire without restriction or compensation.


9. Subscriptions, Billing, and Taxes

Fees are billed in advance and auto-renew unless cancelled. Fees are non-refundable unless required by law. Taxes are Customer’s responsibility, excluding taxes on ClickHire’s net income.


10. Third-Party Services & Confidentiality

Third-party integrations are governed by their own terms. ClickHire is not responsible for third-party services.

Each party agrees to protect the other’s Confidential Information using reasonable care and to use it solely for purposes of this Agreement.


11. Privacy (Embedded Privacy Policy)

ClickHire collects and processes Personal Information as described below.

Controller / Processor Roles

For Candidate Data, Customers generally act as data controllers and ClickHire acts as a processor/service provider, except where ClickHire processes data for its own legitimate purposes (e.g., security, compliance).

12. Cookies

ClickHire uses necessary, analytics, functional, and (if applicable) marketing cookies. Preferences may be managed via browser or cookie tools.


13. Candidate Notice

Candidate Data is processed to support hiring workflows at the instruction of the hiring company. Hiring decisions are made by Customers, not ClickHire.


14. Security Statement

ClickHire applies reasonable administrative, technical, and organizational safeguards. No system is completely secure.


15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CLICKHIRE DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.


16. Limitation of Liability

CLICKHIRE WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.
TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF:

  • Amounts paid by Customer in the prior 12 months, or
  • CAD $100

17. Indemnity

You agree to indemnify ClickHire against claims arising from your use of the Services, content, hiring decisions, or legal violations.


18. Suspension and Termination

ClickHire may suspend or terminate access for violations or risk. Customers may cancel subscriptions per plan terms. Data export may be requested prior to termination, subject to limits.


19. Governing Law

This Agreement is governed by the laws of British Columbia and Canada. Venue is Vancouver, BC.


20. Changes to This Agreement

Material changes will be posted or communicated. Continued use constitutes acceptance.


21. Miscellaneous

Entire Agreement • Severability • No Waiver • Assignment • Force Majeure • Electronic Communications
Survival: IP, Privacy, Disclaimers, Liability, Indemnity, and Governing Law survive termination.

Appendix B — Data Processing Addendum (DPA)

(Including breach notification without undue delay, subprocessors, cross-border safeguards, and deletion/return terms)
